Why founders choose private limited

A private limited company is a separate legal person from the people who own it. That separation is what protects your personal assets if the business runs into trouble, and it is also what makes the structure fundable — venture capital funds and angel investors in India will, almost without exception, only invest in a private limited company because only that structure can issue equity shares cleanly. You need a minimum of two directors and two shareholders, with no minimum paid-up capital, though an authorised capital of ₹1 lakh is standard.

  • Limited liability. Your personal savings, home and other assets sit outside the business and cannot be claimed against company debts.
  • Investor ready. Equity funding, convertible notes and ESOPs all require a company structure. Converting later is possible but costly and slow.
  • Perpetual existence. The company continues regardless of changes in directors or shareholders, which matters for long-term contracts.
  • Credibility. Banks, large customers and overseas partners consistently treat a registered company more seriously than a proprietorship.
  • Clean share transfer. Ownership can be sold or transferred without disturbing the business itself.
  • Free PAN, TAN, PF and ESIC. All four registrations are bundled into our fee rather than charged on top.

Documents you'll need

From every director and shareholder, plus proof of the registered office. Our team reviews each document before filing, because a rejected SPICe+ form costs you a week.

  • PAN and Aadhaar of all directors and shareholders.
  • Identity proof — voter ID, passport or driving licence.
  • Address proof — bank statement, electricity or telephone bill, no more than two months old.
  • Passport-size photographs of each director.
  • Registered office proof — utility bill plus rent agreement and owner's no-objection certificate if rented.
  • Passport is mandatory for any foreign national director, duly notarised.

How the process runs

1
DSC and DINWe obtain Digital Signature Certificates for each director, and Director Identification Numbers for anyone who doesn't already hold one.
2
Name approvalWe check your preferred names against the MCA database and existing trademarks, then file for reservation. Give us two or three options — first choices are often already taken.
3
Incorporation filingSPICe+ INC-32 is filed together with the electronic memorandum and articles of association, which our team drafts around your actual business objects.
4
Certificate, PAN and TANThe Certificate of Incorporation arrives with your CIN, PAN and TAN, typically twelve to fifteen days from start. We then brief you on what compliance follows.
Be realistic about ongoing compliance

A private limited company carries real annual obligations — board meetings, statutory audit, annual returns to the ROC and income tax filings — whether or not you trade. Budget roughly ₹15,000 to ₹25,000 a year for this. If you're testing an idea with no investment plans, an LLP or OPC may genuinely serve you better, and we'll say so.

Frequently asked

How many people do I need?
Two directors and two shareholders, and the same two people can occupy both roles. At least one director must be resident in India, meaning they have stayed in the country for 182 days or more in the previous financial year. The maximum is 200 shareholders.
Is there a minimum capital requirement?
No minimum paid-up capital is required. Authorised capital of ₹1 lakh is the usual starting point, and you can pay in as little as you like against it. Increasing authorised capital later attracts additional stamp duty, so it's worth a short conversation about the right starting figure.
Can I use my home as the registered office?
Yes. A residential address is acceptable. You will need a recent utility bill for the premises and, if the property is rented or owned by a family member, a no-objection certificate from the owner. You can change the registered office later by filing with the ROC.
What if my chosen name is rejected?
We search before filing to minimise this, but the registrar has discretion. If a name is rejected we re-file with an alternative at no additional professional charge — only the nominal government resubmission fee applies.
Can a foreign national be a director?
Yes, provided at least one director is resident in India. Foreign directors need a notarised and apostilled passport along with address proof. Foreign shareholding also triggers FEMA reporting obligations, which we can guide you through.
★★★★★

"My private limited company was registered within fourteen days, with free PAN, TAN and ESIC included. The team answered every question on WhatsApp, often within minutes. Genuinely good value against what my local CA had quoted."
